These Terms of Service ("Agreement") govern your access to and use of the website located at prorealtync.com (the "Site") and your engagement of any product or service offered by PRO Realty ("PRO Realty," "we," "us," or "our"), operating under Universal Realty LLC, a North Carolina licensed real estate firm. PRO Realty's offerings currently include real estate brokerage services and photography & virtual staging services, and may expand over time to include additional services described in Section "Additional Services" below (collectively, the "Services"). "You" or "Client" refers to any person or entity accessing the Site or engaging our Services.
By accessing the Site, requesting or scheduling any Service, or signing an Order Form or any Service-Specific Agreement (defined below) that references this Agreement, you agree to be bound by these terms. If you do not agree, please do not use the Site or our Services.
This Agreement sets out the general terms that apply across all Services we offer. Individual Services may also be governed by their own Service-Specific Agreement — for example, real estate brokerage representation is governed by a separate written agency agreement required under North Carolina real estate license law (e.g., a Buyer Agency Agreement or Listing Agreement), and Photography & Virtual Staging Services are governed by the PRO Realty Photography & Virtual Staging Annual Service Agreement. Where a Service-Specific Agreement exists for a given Service, it supplements this Agreement and controls over this Agreement as to that Service in the event of a conflict.
Definitions
"Services": Collectively, any product or service offered by PRO Realty from time to time, including without limitation real estate brokerage services, photography services, and virtual staging services, together with the content, tools, and features made available on the Site (including any listing search, buy-readiness assessment, or ROI calculator tools). PRO Realty may add, modify, or discontinue individual Services at any time without amending this Agreement.
"Service-Specific Agreement": Any order form, statement of work, engagement letter, or standalone agreement (such as a Listing Agreement, Buyer Agency Agreement, or the PRO Realty Photography & Virtual Staging Annual Service Agreement) that PRO Realty presents to Client in connection with a specific Service. A Service-Specific Agreement is incorporated into and supplements this Agreement for that Service.
"Listing Content": Photographs, virtually staged images, floor plans, video, drone imagery, and other marketing materials created by PRO Realty in connection with a specific property listing.
"Client Content": Any information, photos, documents, or other materials Client provides to PRO Realty in connection with the Services.
"MLS": The multiple listing service(s) — including Doorify MLS — through which property listing data displayed on the Site may be syndicated via an IDX feed.
Real Estate Brokerage Services
Licensed Brokerage: PRO Realty operates under Universal Realty LLC, a real estate firm licensed by the North Carolina Real Estate Commission. Individual brokers acting on Client's behalf are licensed North Carolina real estate brokers. Broker-in-Charge: Angnes Lam.
Agency Disclosure: Before representing you as a buyer or seller, North Carolina law requires us to provide you with the "Working with Real Estate Agents" brochure published by the North Carolina Real Estate Commission and to disclose in writing the nature of our agency relationship with you (buyer's agent, seller's agent, or dual agent). Nothing on this Site constitutes that required disclosure — it is provided separately, in person or electronically, at first substantial contact.

Listing Data Disclaimer: Property listing information displayed on the Site may be provided in whole or in part through an MLS IDX feed and is deemed reliable but not guaranteed. PRO Realty does not independently verify square footage, school assignments, tax records, HOA information, or other third-party data, and makes no warranty as to its accuracy or completeness. Listing availability, pricing, and status are subject to change without notice.
No Guarantee of Outcome: Use of the Site, our tools (including any Buy-Ready Assessment or ROI Calculator), or our Services does not guarantee that a home will sell, that a purchase offer will be accepted, or any particular financial outcome. Any estimates provided by our tools are for informational purposes only and are not an appraisal.
Additional Services
Framework for New Services: PRO Realty may, from time to time, introduce additional products or services beyond those described in this Agreement (for example, additional marketing, media, or consulting offerings related to real estate). Unless PRO Realty determines that a new Service requires updated terms in this Agreement, use of any such additional Service is governed by: (a) the general terms of this Agreement, which apply to all Services PRO Realty offers, and (b) any Service-Specific Agreement, order form, pricing sheet, or additional terms presented to Client at the time Client engages that Service. PRO Realty is not required to amend this Agreement in order to introduce a new Service.
Scope of This Section: The remainder of this Agreement includes provisions specific to Services PRO Realty currently offers (Real Estate Brokerage Services above, and Photography & Virtual Staging Services below) as illustrative examples of how a Service-Specific Agreement supplements this Agreement. These service-specific provisions apply only to Client's engagement of that particular Service and do not limit PRO Realty's ability to offer other Services under the general framework in this section.
Photography & Virtual Staging Services
Scope: Photography Services may include on-location real estate photography, drone/aerial photography (where legally permitted and requested), virtual staging, floor plans, and video, as agreed in your service order.
Scheduling and Cancellation: Shoots must be scheduled in advance in writing. Cancellation, rescheduling, and on-site-cancellation fees apply as set forth in the PRO Realty Photography & Virtual Staging Annual Service Agreement, and PRO Realty is not responsible for delays caused by inaccessible properties, absent keys/access codes, or occupants not being ready at the scheduled time.
Delivery: Completed Listing Content is delivered electronically within the turnaround time stated in the PRO Realty Photography & Virtual Staging Annual Service Agreement. Client is responsible for downloading and retaining copies of delivered files; PRO Realty is not obligated to store Listing Content indefinitely.
License to Use Listing Content: Upon full payment, Client receives a limited, non-exclusive, non-transferable license to use the Listing Content solely to market the specific property for which it was created — including MLS listing, print marketing, social media, and Client's brokerage website. PRO Realty retains all copyright and ownership of Listing Content unless otherwise agreed in a signed writing. Additional restrictions on Client's use of Listing Content (including limits on transfer to third parties, reuse for a different listing, and removal of watermarks) are set forth in the PRO Realty Photography & Virtual Staging Annual Service Agreement.
Virtual Staging Disclosure: Any virtually staged image must carry a visible "VIRTUALLY STAGED" or "DIGITALLY ENHANCED" label directly on or immediately adjacent to the image, and original (unstaged) photographs must also be included in MLS listings as required by MLS rules and NAR policy. As between PRO Realty and Client, Client is solely responsible for this disclosure in all MLS listings, marketing materials, social media, and advertising; see the PRO Realty Photography & Virtual Staging Annual Service Agreement for full terms.
Property Access and Client Warranty: Client represents that it has the legal right or authorization (as owner, listing agent, or authorized representative) to grant PRO Realty access to the property for the purpose of providing Photography Services.
Governing Agreement for Photography Engagements: Pricing, packages, scheduling, cancellation terms, turnaround times, add-on services, and additional usage rights are set out in the PRO Realty Photography & Virtual Staging Annual Service Agreement signed by Client, which supplements and, in the event of conflict, controls over this Agreement as to Photography & Virtual Staging Services. That agreement covers all Service Orders placed during its term and automatically renews annually as described in that agreement, which separately discloses the renewal terms and cancellation method as required by North Carolina law.
Fees and Taxes: Fees for Photography & Virtual Staging Services are set forth in your service order. Digital photographs and virtual staging images delivered electronically constitute "certain digital property" under North Carolina law (N.C. Gen. Stat. § 105-164.4) and are subject to North Carolina sales and use tax, which is itemized as a separate line on each invoice. Use of the Site
Permitted Use: You may use the Site to browse listings, request information, and access our tools for your own personal, non-commercial use in connection with a bona fide real estate transaction.
Prohibited Conduct: You will not scrape, data-mine, or systematically extract content from the Site; impersonate any person or misrepresent your affiliation; use the Site's contact forms to send unsolicited commercial messages; or use the Site for any unlawful purpose.
Third-Party Tools and Links: The Site may link to or embed third-party tools and services (including but not limited to home search/HomeSpotter functionality, MLS data feeds, mortgage calculators, and social media platforms). PRO Realty does not control and is not responsible for the accuracy, availability, or practices of those third-party tools.
Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into this Agreement by reference.
Warranties and Disclaimers
The Site and our Services are provided "as is." PRO Realty does not warrant that the Site will be error-free or uninterrupted, and does not warrant the outcome of any real estate transaction.
PRO Realty is not responsible or liable for the acts, omissions, products, or services of third parties not directly provided by PRO Realty, including but not limited to lenders, title companies, home inspectors, appraisers, contractors, and MLS providers.
Indemnification
Client agrees to indemnify and hold PRO Realty harmless from any claims, damages, or expenses arising from: (a) Client Content or materials Client provides; (b) Client's breach of this Agreement or any applicable Service-Specific Agreement; (c) any misrepresentation regarding Client's authority to grant property or other access needed to provide a Service; or (d) Client's use of any deliverable outside the scope of the license or terms granted for that Service.
Limitation of Liability
To the maximum extent permitted by law, PRO Realty shall not be liable for any special, incidental, indirect, consequential, or punitive damages arising from your use of the Site or the Services, regardless of the legal theory asserted. PRO Realty's aggregate liability for any claim arising from the Services shall not exceed the total fees paid by Client for the specific service giving rise to the claim in the twelve (12) months preceding the claim. Nothing in this section limits any liability that cannot be limited under North Carolina real estate license law.
Termination
PRO Realty may suspend or terminate your access to the Site at any time for conduct that violates this Agreement. Termination of Client's engagement for any particular Service is governed by the applicable Service-Specific Agreement for that Service, including any cancellation terms stated there.
General
Governing Law: This Agreement is governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.
Amendment: We may update this Agreement from time to time. Changes take effect when posted to this page, and the "Last Updated" date below will reflect the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Agreement.
Severability: If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: This Agreement, together with any applicable Service-Specific Agreement, constitutes the entire agreement between Client and PRO Realty regarding the subject matter herein.
